Board of Directors (BOD) Meetings are held on the third Thursday of each month in the GHWA Clubhouse at 7:00 p.m.

Duties of the Officers:
President: The President shall chair all meetings of the Association. The President shall sign all written instruments required by the Association’s action, and co-sign all checks and promissory notes. Only with prior approval of the Board will the President proceed to obligate the Association or expend monies for capital improvements, repair, replace or purchase new equipment at a cost or value above $850.00. The President shall be bonded for the maximum amount of funds to be held by the Association during the fiscal year.
First Vice-President: The First Vice-President shall assume the responsibilities of the President in the event of his or her absence or inability or refusal to act. He or she shall exercise other duties as determined by the Board. At the discretion of the Board of Directors, either the First Vice-President or the Second Vice-President shall, upon direction of the Board, chair the Architectural Committee.
Second Vice-President: The Second Vice-President shall assume the responsibilities of the President and First Vice- President in the event of their absence or inability or refusal to act. He or she shall exercise other duties as determined by the Board. The Second Vice-President may be appointed as chairperson of the Architectural Committee.
Secretary: The Secretary shall record the votes and keep the minutes of all Member and Board meetings. The Secretary shall be responsible for the corporate seal and its use. The Secretary shall be responsible for the mailing of all notices required under the Bylaws, keeping appropriate membership records, and performing other duties as required by the Board.
Treasurer: The Treasurer shall receive and deposit in appropriate bank accounts all monies, and disburse funds as directed to satisfy the obligations of the Association. The Treasurer shall co-sign all checks and promissory notes of the Association, keep proper books of accounts, and be responsible for a financial report of Association income and expenditures to be made periodically to the Members. The Treasurer shall prepare a draft of the annual budget for the Board and a statement of income and expenditures to be presented at the Annual Meeting. The Treasurer shall be bonded for the maximum amount of funds to be held by the Association during the fiscal year.
Treasurer duties include: Review and sign payable invoices and timesheets weekly, review payable and payroll receipts as they are received, review scheduled online checks for accuracy as soon as received, review monthly financial reports and provide the report at monthly board meetings, review and sign all bank statements, make transfers to funds as needed and authorized, review deferred maintenance accounts and update with quotes for inflation, develop long term plan and provide recommendations to the board for emergency/contingency/deductibles/unforeseen expenses/revenue shortfalls, prepare the financial report for the annual members meeting, and review the annual tax returns and CPA annual financial report. In addition, prepare the annual budget for: develop the first draft no later than July 30, provide the first draft for board review/discussion not later than the September monthly board meeting, and provide the final proposed budget for board review/approval not later than the October monthly board meeting.

The purpose of the Architectural Committee is to exercise the duties set forth in the Declaration. The committee is responsible for the review of all requests for approval of improvements to be constructed or placed upon any Lot, all building plans for new construction, as provided for in the Declaration, and recommend Board action. The committee will conduct site reviews, identify non-compliance with Declaration provisions, to the extent permitted by the Declaration initiate informal action to rectify non-compliance situations, and if non-compliance continues, recommend appropriate action for Board consideration. The committee may, with the prior written approval of the Board of Directors, retain the services of such expert or experts as may be deemed necessary for the committee to perform its duties.

The Common Area Maintenance Committee ensures the operation and maintenance of the pool, pool area, tennis courts, Association building, boat ramp, and the grounds surrounding the Recreational Complex.

The Election Committee oversees the election procedure, including, but not limited to, solicitation of candidates, the election portion of the annual meeting of the Members, tallying votes in the election of Directors, and announcing election results.
Financial Review: Board Liaison: Tina Anfuso; Member(s): Myra Baker
The Financial Review Committee reviews all financial records of the Association and report its findings and recommendations to the Board at a meeting of the Board.

A fine or suspension levied by the Board may not be imposed unless the Board first provides at least fourteen (14) days’ notice to the Lot owner and, if applicable, any occupant, licensee, or invitee of the Lot owner, sought to be fined or suspended and a hearing before the Fining Committee, consisting of at least three (3) Members appointed by the Board who are not officers, directors, or employees of the Association, or the spouse, parent, child, brother, or sister of an officer, director, or employee.

The Governing Documents Committee reviews the Association rules and regulations, Bylaws, Articles of Incorporation, and the Declaration, and shall report its findings and recommendations to the Board of Directors at a meeting of the Board. The committee shall promote the understanding and application of the documents. The committee suggests changes, review proposed amendments as requested by the Board and will assist in consideration of proposed amendments.
Newsletter, Website, and General Communications (Newsletter@GHWOODLANDS.com): Board Liaison: Freddie Koehli; Member(s): Tina Anfuso, Myra Baker
The Newsletter, Website, and General Communications committee determines format and content; gathers material, sells advertising space, edits the newsletter, and supervises printing and distribution of The Woodlands News as the official publication of the Association. The purview of the Newsletter Committee was expanded to include the community's official website and general communications as directed by the Board.
